These Terms of Service (Terms) govern your use of the website and services provided by Matrix Business Advisory Pty Ltd (ABN 66 674 638 192) trading as Company Information (we, us, our) at companyinfo.com.au. By accessing or using our service, you agree to be bound by these Terms.
These Terms are governed by the laws of Queensland, Australia. Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded, restricted, or modified by agreement.
1. The service
We provide a platform to search Australia's Personal Property Securities Register (PPSR) by ABN, ACN, ARBN, or ARSN. For each search, we retrieve data from the official PPSR operated by the Australian Financial Security Authority (AFSA) and present it in a structured report with an official PPSR certificate.
We are not affiliated with, endorsed by, or acting on behalf of AFSA, the Australian Business Register, ASIC, or the Australian Government.
2. Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding contracts to use this service. By using the service, you represent that these conditions are met. The service is intended for business and professional use.
3. Accounts
You may create a free account to access your search history and re-download past reports. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must provide accurate information when creating an account and keep it up to date. We may suspend or terminate accounts that contain false information or that are used in breach of these Terms.
4. Fees and payment
Each PPSR search is subject to a fee displayed to you before you confirm the search. Fees are in Australian dollars (AUD) and include GST where applicable. Payment is processed securely through Stripe. We do not store your card details.
A search is charged at the point you confirm the entity and proceed to run the PPSR search. You will have the opportunity to verify the entity name before any charge is applied.
5. Refund policy
All fees are non-refundable once a PPSR search report has been successfully delivered. This applies regardless of the content of the report — a result showing no registrations is a valid and complete report.
If we are unable to deliver a report due to a technical failure on our part, you are entitled to a full refund of the search fee for that transaction. To request a refund in these circumstances, contact us at hello@companyinfo.com.au within 30 days of the failed search.
Nothing in this clause limits any rights you may have under the Australian Consumer Law where a statutory guarantee applies.
6. Report storage and access
Reports generated by your searches are stored indefinitely and remain accessible through your account at any time. You may re-download a report you have previously paid for at no additional charge.
We reserve the right to discontinue the service with reasonable notice, at which point we will provide you with a reasonable opportunity to download your reports before they are removed.
7. Pro accounts
Pro accounts are available for users who conduct regular PPSR searches. Pro accounts provide access to volume discounts on search fees, full search history, and branded reports.
Volume discount tiers and eligibility criteria are set out on the pricing page and may be updated from time to time. Changes to pricing will be communicated to active Pro account holders with reasonable advance notice.
Pro accounts are subject to fair use. We reserve the right to suspend a Pro account where usage patterns suggest automated abuse or resale of reports in breach of these Terms.
8. Accuracy of data
PPSR search results are retrieved directly from the official PPSR at the time of your search. We present this data as-is and do not independently verify or supplement it. The accuracy, completeness, and currency of the data is the responsibility of AFSA as the register operator.
To the maximum extent permitted by law, we are not liable for any loss or damage arising from reliance on the data in a PPSR report, including where that data is inaccurate, incomplete, or out of date.
9. Acceptable use
You must not use the service to:
- Conduct automated or bulk searches except through an approved API arrangement with us.
- Resell or redistribute reports or data without our written consent.
- Attempt to gain unauthorised access to our systems.
- Use the service for any unlawful purpose.
Breach of these restrictions may result in immediate account suspension and, where appropriate, referral to relevant authorities.
10. Limitation of liability
To the maximum extent permitted by the Australian Consumer Law and other applicable law, our total liability to you for any claim arising out of or in connection with these Terms or the service is limited to the amount you paid for the specific search that gave rise to the claim.
We are not liable for any indirect, consequential, special, or punitive loss, including loss of profit, loss of data, or business interruption, whether or not we have been advised of the possibility of such loss.
Where the Australian Consumer Law implies guarantees that cannot be excluded, our liability is limited to re-supplying the service or, at our option, paying the cost of re-supply.
11. Intellectual property
All content, software, and interfaces provided by us (excluding PPSR data sourced from AFSA) are our intellectual property or licensed to us. You may not reproduce, redistribute, or create derivative works from our platform without our written consent.
Reports generated from your searches are provided for your own business use. You may share a report with your clients in the ordinary course of your professional work but may not resell or publish reports as a data product.
12. Termination
You may close your account at any time by contacting us. We may suspend or terminate your account if you breach these Terms, with notice where practicable.
On termination, your right to access the service ceases. Clauses that by their nature survive termination (including payment obligations, liability limitations, and dispute resolution) will continue to apply.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to registered account holders by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you may close your account before the changes take effect.
14. Governing law and disputes
These Terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia.
Before initiating formal proceedings, you agree to contact us to attempt to resolve any dispute informally. We will endeavour to respond and resolve disputes within 30 days.
